1. What LaneFoundry is

LaneFoundry helps motor carriers research, evaluate, prioritize, and pursue potential direct shipper relationships. The service may provide shipper discovery, company and facility research, freight-related evidence, equipment and geographic-fit analysis, deterministic opportunity scoring, model-assisted qualification, transportation contact research, buyer-path hypotheses, outreach support, account tracking, and market or lane intelligence.

2. LaneFoundry is not a freight broker

LaneFoundry is software that provides research, lead-generation, and business-development tools for motor carriers. LaneFoundry does not act as a freight broker, motor carrier, freight forwarder, dispatch service, transportation intermediary, or shipper.

LaneFoundry does not arrange transportation, tender freight, assign or allocate loads among unrelated carriers, negotiate transportation rates or services on behalf of shippers or carriers, accept freight from shippers for redistribution, or collect freight payments on behalf of carriers.

Any transportation relationship resulting from use of LaneFoundry is entered into directly between the carrier and the relevant shipper, broker, customer, or other transportation party.

3. Opportunity assessments and evidence

LaneFoundry uses publicly available information, commercial data providers, carrier-provided information, automated research, deterministic scoring systems, and model-assisted analysis. Not every data point can be independently verified.

Information may be presented as confirmed evidence, inference, partial evidence, evidence not found, negative evidence, or unknown. A recommendation, score, qualification result, buyer-path hypothesis, or ranking is not a representation that a company currently has freight available.

Unless direct evidence explicitly supports it, LaneFoundry does not claim to know exact freight volume, lane frequency, recurring load counts, current demand, current carrier openings, equipment requirements, buyer identity, or contract availability. Freight availability, transportation needs, buyer identity, frequency, rates, and commercial terms must be confirmed directly with the relevant company.

4. No guarantee of business results

LaneFoundry may help identify companies that appear worth contacting. We do not guarantee responses, quote requests, awarded freight, trial or repeat loads, direct shipper contracts, revenue, profitability, reduced deadhead, or improved rates. Results depend on factors outside our control, including market conditions, operating authority, safety record, insurance, equipment, pricing, service history, timing, communication, capacity, and shipper needs.

5. Your carrier information

You may provide operating-authority, fleet, equipment, market, lane, capacity, freight-preference, historical-load, document, and operational information. You represent that you have the right to provide it and are responsible for its accuracy and for complying with confidentiality obligations and third-party rights.

6. Historical loads and document uploads

Only upload documents you are authorized to use, and avoid unnecessary sensitive information. LaneFoundry may extract operational data to analyze lanes, freight patterns, markets, and opportunities. Carrier documents are not treated as evidence of a prospective shipper's current demand unless they directly support that conclusion.

7. Accounts and acceptable use

You are responsible for account security. You may not impersonate another business, circumvent usage restrictions, abuse trials, systematically extract LaneFoundry data, reverse engineer protected parts of the service, interfere with its operation, or use it unlawfully. We may suspend or terminate accounts that violate these Terms.

8. Outreach and communications

LaneFoundry may provide contact paths, routing questions, drafts, and sales-support tools. You are responsible for how you use them and for complying with laws governing email, calls, texts, commercial communications, privacy, consent, and do-not-call requirements. Contact information may be incomplete, outdated, or incorrect.

9. Third-party data and services

We may use third parties for identity, payments, analytics, email, hosting, enrichment, company research, contact discovery, error monitoring, and AI model services. Third-party information and services may be incomplete, unavailable, or incorrect, and LaneFoundry is not responsible for third-party outages, changes, or data.

10. Subscriptions, billing, and trials

Paid plans are billed under the terms shown at checkout and renew until canceled unless stated otherwise. Cancellation prevents future renewal charges but does not necessarily create a refund for a paid period. Pricing or features may change with reasonable notice where required.

Free searches, credits, trials, or promotions may be limited by account, carrier, USDOT number, organization, device, email, usage, or reasonable anti-abuse controls. We may restrict promotional access when we reasonably believe it is being abused.

11. Intellectual property

LaneFoundry and its original software, interfaces, scoring systems, branding, content, designs, workflows, and documentation are owned by LaneFoundry or its licensors. You retain ownership of information and documents you submit, subject to the permissions needed to operate the service.

12. Availability and changes

We may modify, suspend, or discontinue features and do not promise uninterrupted or error-free access. We may update these Terms by posting a revised version and changing the effective date. Continued use after an update means you accept the revised Terms where permitted by law.

13. Disclaimers and limitation of liability

To the fullest extent permitted by law, LaneFoundry is provided “as is” and “as available,” without warranties of merchantability, fitness for a particular purpose, non-infringement, data accuracy, or business results. LaneFoundry will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost revenue, lost data, missed opportunities, or transportation-related claims arising from use of the service.

14. Indemnification

You agree to defend, indemnify, and hold LaneFoundry and its affiliates, officers, employees, and service providers harmless from claims arising from your misuse of the service, outreach, transportation operations, submitted content, violation of these Terms, or violation of law or third-party rights.

15. Governing law and severability

These Terms are governed by applicable law without regard to conflict-of-law principles. If any provision is unenforceable, the remaining provisions remain in effect. These Terms, together with policies incorporated by reference, are the entire agreement about the service.
